Manuel Mingot

Manuel Mingot is a partner in the Banking & Finance team of Ontier. Manuel advises lenders, borrowers and sponsors on a wide range of financing transactions at both local and cross-border levels (most often, as lenders’ counsel). He has vast experience acting for banks, alternative lenders, credit funds, private equity houses, sponsors and debt funds on leveraged finance, corporate lending, syndicated and bilateral facilities, private credit across all capital structures and commercial real estate finance. In the energy sector, Manuel has an established reputation as an experienced project finance adviser and is a usual choice for lenders, alternative lenders, borrowers, sponsors and developers in the project financing of power plants from renewable and clean energy sources on a variety of senior debt, project bond, mezzanine, unitranche and holdco structures. As a debt restructuring practitioner, Manuel has deep knowledge of restructuring tools and has advised on some of the most prominent debt restructuring and complex refinancing mandates in the Spanish market. In the international trade space, Manuel is active advising on a wide range of multijurisdictional receivables financings, structured trade finance and export-related financing transactions, often with a cross-border element. His practice also covers advising issuers and investors on the issue, underwriting and placement of notes and debt instruments, including regulatory and financial derivatives advice.

Highlights of the work

Advising CaixaBank and Oquendo Capital as counsel to the lenders in a syndicated financing consisting of a term loan A, a term loan B and a senior secured revolving credit facility (RCF) granted in favor of Grupo Afianza.

Advising German bank Nord/LB as MLA, L/C issuing bank, facility agent and hedging provider, as legal advisor to the lenders, in connection with a long-term, non-recourse, senior secured project financing granted to special purpose vehicles owned by the L&G NTR Clean Power Fund for the financing of 115 MWp solar PV projects backed by power purchase agreements in Ciudad Real and Granada.

Advising Banco Santander, CaixaBank, BBVA, Sabadell, Deutsche Bank and Bankinter in more than forty debt refinancing, restructuring and recovery transactions with Spanish debtors, acting as trusted legal advisor.
